Information on the conversion from bearer shares to registered shares

Lustenau 30 May 2025 - :be AG hereby informs its shareholders about the process and timeline for the conversion of bearer shares (ISIN: AT0000A2SGH0) into registered shares (ISIN: AT0000A3LM45), along with the related changes.

Effective from 5 June 2025, bearer shares of :be AG will be automatically removed from shareholders’ securities accounts by the respective custodian banks and replaced with registered shares of :be AG on a 1:1 basis. This conversion will be carried out free of charge for shareholders and does not affect their shareholding position or ownership percentage in :be AG.

 

However, to exercise shareholder rights in the future (particularly the right to attend general meetings and to receive dividends), shareholders must actively apply to be entered into the Company's share register. According to Section 61 (2) of the Austrian Stock Corporation Act (AktG), following the conversion, only those registered in the share register will be considered shareholders of :be AG.

 

The following information must be entered in the Company’s share register for each shareholder:

  • Name (or company name) and the address relevant for correspondence; in the case of natural persons, the date of birth; in the case of legal entities, the register and registration number under which the entity is listed in its country of origin;

  • Number of shares held; and

  • A bank account in the shareholder’s name at a recognised credit institution, to which payments will be made.

The application form for registration in the share register is available at: https://www.be-ag.eu/en/investor-relations/shares. This form must be completed with the required information and submitted to the Company.

 

The following documents must be attached to the application:
(i) a current securities account statement, and
(ii) a copy of a valid photo ID (or, in the case of legal entities, an excerpt from the relevant company register).
